Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

Automatic Renewal

Some services may automatically renew. You will be notified before any automatic renewal, and charges will only occur if you do not cancel before the renewal date.

6. Intellectual Property Rights

Our Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, and software, are owned by SiteMaxi and are protected by copyright, trademark, and other intellectual property laws.

Your Rights

Unless otherwise specified in your service agreement, you retain ownership of all content you provide to us. You grant us a license to use your content solely for the purpose of providing Services to you.

Deliverables

Upon full payment, you own the deliverables created specifically for you under your service agreement. We retain the right to showcase these deliverables in our portfolio unless you request otherwise in writing.

7. User Conduct

You agree not to:

• Use our Services for any illegal purpose or in violation of any laws
• Violate or infringe upon the rights of others
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Impersonate any person or entity
• Collect information about other users without consent

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This obligation survives the termination of Services.

9. Disclaimers and Warranties

Service Warranty

We strive to provide high-quality services but cannot guarantee specific results. Marketing and web development outcomes depend on many factors beyond our control.

No Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, SiteMaxi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our Services
• Any unauthorized access to or use of our servers
• Any interruption or cessation of Services
• Any bugs, viruses, or other harmful code transmitted through our Services

Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless SiteMaxi and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of our Services or violation of these Terms.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in Vaughan, Ontario, except where prohibited by law.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website. Your continued use of our Services after such changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
